Frequently Asked Questions

A Loan Agreement is a legal contract between a lender and a borrower that records the terms under which money is advanced and repaid. It generally includes the loan amount, interest rate, repayment schedule, loan duration, security arrangements and obligations of both parties.

Yes. A Loan Agreement can be legally binding when it satisfies the requirements of a valid contract under the Indian Contract Act, 1872. The parties should clearly document the loan amount, repayment obligations, interest terms and other agreed conditions, along with applicable stamping and execution formalities.

A Loan Agreement should generally contain lender and borrower details, principal amount, loan purpose, interest rate, disbursement conditions, repayment schedule, maturity date, default provisions, security details, guarantees and dispute resolution terms.

A secured loan is supported by collateral or another recognised security arrangement, such as a mortgage or pledge. An unsecured loan does not involve specific collateral and relies primarily on the borrower's repayment obligation and creditworthiness. The agreement should clearly identify the applicable arrangement.

Yes. The parties may agree on an applicable interest rate and calculation method, subject to relevant laws and regulatory requirements. The agreement should clearly state whether interest is simple or compound, how it is calculated and when it becomes payable. Applicable state money-lending legislation or sector-specific rules may restrict certain lending arrangements or interest rates.

Not every ordinary unsecured loan agreement requires registration. However, where the transaction creates a mortgage or another registrable interest in immovable property, applicable registration requirements must be examined. Section 59 of the Transfer of Property Act, 1882 prescribes registration requirements for specified mortgage instruments, subject to statutory exceptions.

Prepayment depends on the agreement and applicable law. The contract should specify whether early repayment is permitted, whether prior notice is required, how outstanding interest is calculated and whether any prepayment charges apply. Certain regulated lending arrangements may have additional restrictions on such charges.

Failure to repay may constitute a contractual default. Depending on the agreement and applicable law, the lender may issue a notice, demand outstanding amounts, enforce valid security or pursue appropriate legal remedies. The agreement should clearly specify default events, applicable charges and the procedure for addressing non-payment.

Yes. A guarantor may provide a guarantee for the borrower's obligations, subject to the terms of the guarantee and applicable law. Sections 126–147 of the Indian Contract Act, 1872 deal with contracts of guarantee, including the rights and liabilities of sureties. The guarantee obligations should be clearly documented.

Yes. A Loan Agreement may generally be amended or renewed through mutual agreement, subject to its existing provisions and applicable law. Changes to interest rates, repayment schedules, maturity dates, security arrangements or other financial terms should be properly documented in a written amendment or supplementary agreement.
